Terms of use

These terms govern your use of the websites of Aegis Technologies Inc. (“Aegis”, “we”, “us”): www.aegistechnologies.tech, www.aegis-aeroassure.com, www.aegis-autoassure.com, www.aegis-medassure.com and www.aegis-skyassure.com (the “Sites”). They cover everything on the Sites, including the sample reports, templates, demo videos and fit check. By using the Sites you agree to these terms. If you use the Sites on behalf of a company, you agree to them for that company. The Sites are for business use and are not directed to consumers or to anyone under 18.

1. Paid work is governed by a signed agreement

An Audit Defense Pack, a subscription, or any other paid service is governed only by the written agreement signed for it. For an Audit Defense Pack, that is the Audit Defense Pack Services Agreement with its Order Form and exhibits. Partner, referral and resale arrangements are governed only by a signed partner agreement. Nothing on the Sites, in the fit check or in a sample is an offer you can accept, part of any agreement, or a promise beyond what that agreement says. If the Sites and a signed agreement differ, the agreement controls.

2. What our products are, and what they are not

Our products help a business prepare for audits, inspections and reviews. None of them is:

• a certification;
• a registrar or certification-body audit;
• a regulatory determination; or
• legal, regulatory, export-control, tax or accounting advice.

We make no promise or warranty about the result of any audit, certification, customer review or regulatory process. Aegis MedAssure is not a medical device, and it makes no clinical or reportability decisions. Aegis SkyAssure results are not a determination of legal or regulatory compliance. Decisions about your quality system, corrective actions and compliance remain with you and your qualified people.

3. Information on the Sites

The Sites give general information about our products. We work to keep them accurate, but details can change and mistakes can happen, so confirm anything important with us before you rely on it. Where the Sites describe a standard (such as AS9100D, IATF 16949 or ISO 13485), that is our own summary. Your copy of the standard, your registrar and your customers’ requirements are the authority.

4. Samples, templates and demo content

The sample reports, workbooks, templates, question sets and demo videos on the Sites are built from sample company data. You may view, download and use them inside your organization to evaluate our products. You may also use the Excel templates to prepare your own records for an engagement with us. You may not:

• sell, republish or redistribute them, or offer them as part of a product or service;
• remove their notices or markings;
• use them, or anything derived from them, to build, train or improve a competing product, service, model or dataset; or
• use them to work out our methods.

We may withdraw this permission at any time. All other rights are reserved.

5. The fit check

The fit check gives an automatic first indication based on your answers. It does not assess your compliance, and it is not an offer or an acceptance. On www.aegis-aeroassure.com the fit check is on our booking page and your answers reach us when you submit them; if they fit, you can choose to buy the Audit Defense Pack straight away, and we then email you the Services Agreement and an invoice. Choosing to buy does not form a contract: the engagement is governed only by that agreement once it is signed. On our other Sites, the result opens a pre-filled email in your own email app, and nothing is sent to us until you send that email. We may decline any engagement.

6. Do not send restricted or confidential records

Through the Sites, the fit check, email or booking forms, do not send:

• controlled unclassified information (CUI);
• ITAR- or EAR-controlled technical data;
• classified information;
• records that a contract or law stops you sharing; or
• sensitive personal information.

Engagement records are exchanged only as the signed agreement describes. Unless we have signed a nondisclosure agreement with you, please do not send us confidential information before an engagement starts.

7. Prices and availability

Prices on the Sites are in U.S. dollars and exclude taxes. They can change without notice. Founding prices and places are limited. A price binds us only once it is stated in an Order Form that both parties have signed. If a price or description on the Sites is wrong, we may correct it.

8. Acceptable use

You agree not to:

• use the Sites in breach of any law;
• probe, scan or test the security of the Sites or our systems without our written permission. If you find a vulnerability, please email us; we welcome responsible reports;
• interfere with the Sites, or send malware or harmful code;
• scrape or bulk-download content, or access the Sites by automated means, other than ordinary search-engine indexing;
• use content from the Sites to train or improve an AI model, or to build a competing product;
• impersonate anyone, or misstate your relationship with us; or
• say or suggest that we have certified, approved or endorsed you, your company or your products.

9. Intellectual property

Aegis or its licensors own the Sites and their content: the text, designs, software, report formats, templates, question sets, samples and videos. Aegis, AeroAssure, AutoAssure, MedAssure, SkyAssure and the Aegis logos are trademarks of Aegis Technologies Inc. You may not use them without our written permission, except to refer to our products accurately. The names of standards, standards bodies, regulators, registrars and companies on the Sites belong to their owners. Their use does not mean any of them is affiliated with us or endorses us, and that includes companies named in a biography.

10. Feedback

If you send us suggestions or feedback, we may use them freely, with no obligation to you. This does not cover your confidential information or your company’s records.

11. Other websites and services

The Sites link to services we do not control, such as LinkedIn, Google, Square and file and video hosts. Your use of those services is governed by their own terms, and we are not responsible for them.

12. Disclaimer

To the fullest extent permitted by law, the Sites and everything on them are provided “as is” and “as available”, without warranties of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, accuracy and non-infringement. We do not warrant that the Sites will be uninterrupted, error-free or free of harmful components.

13. Limitation of liability

To the fullest extent permitted by law, Aegis will not be liable for any indirect, incidental, special, consequential, exemplary or punitive damages arising from your use of the Sites. This includes lost profits, lost revenue, lost contracts, loss of certification or approval, and audit findings or outcomes. Aegis’s total liability arising out of or relating to the Sites will not exceed one hundred U.S. dollars (US$100).

This section covers use of the Sites only. Our liability for paid work is governed by the signed agreement for that work. Nothing in these terms limits liability that the law does not allow to be limited.

14. Your responsibility

You will defend and indemnify Aegis against third-party claims arising from your breach of these terms or your misuse of the Sites, and you will pay the resulting losses and reasonable legal costs.

15. Export and sanctions

You may not use the Sites in breach of U.S. export-control or sanctions laws. The Sites are not intended to contain export-controlled technical data.

16. Governing law and disputes

These terms are governed by the laws of the State of Delaware, without regard to its conflict-of-laws rules. The state and federal courts in New Castle County, Delaware have exclusive jurisdiction over any dispute about the Sites or these terms, and you and we consent to them. To the extent the law allows, each party waives any right to a jury trial in such a dispute.

17. General

We may change these terms by posting a new version here with a new date. The version posted when you use the Sites applies. We may suspend or end access to the Sites at any time. If a provision is unenforceable, the rest remains in effect. A waiver applies only if it is in writing. You may not transfer your rights under these terms, but we may transfer ours to a successor to our business. These terms, together with our privacy policy, are the whole agreement about your use of the Sites. They do not replace any agreement you have signed with us.
